Jonathan has specialised in private equity for over 25 years and is known for his exceptional problem-solving and commercial acumen. He was the founder of Stephenson Harwood’s leading Private Equity Group and has led its growth.

Jonathan helps founders, managers and private equity sponsors on a wide range of private equity matters, including minority investments, buyouts and exits. He also regularly advises fund managers on their establishment, incentive arrangements and succession planning matters.

Experience

  • Acted for Bowmark Capital and in relation to various investments

    Jonathan advised Bowmark Capital on amongst the investment into and sale of Tax Systems, IWSR, Focus Group, Pirum, the Instant Group, the LOD Group, ASK4, Node4. Leaders Lettings and Oxford Education and more recently on its investments into Eque2 and CubeLogic.


    The investments cover various sectors with a particular focus on services and technologies companies.


    Jonathan has been advising Bowmark Capital for over 20 years, a leading mid-market fund manager that manage and advise funds over £2billion.  

  • Acted for Soho Square in relation to various investments

    Jonathan has advised Soho Square (and its predecessor) on several investments including in the past Brasserie Blanc and Kelway and more recently Netomnia.


    Jonathan advised on Soho Square’s original investment in Netomnia in 2020, Netomina’s subsequent investments from DigitalBridge and Advencap and more recently in 2025 on the merger of Netomnia and Brsk. Netomnia and Brsk are two of the fastest-growing alternative networks in the UK telecommunications industry. To date £1.3billion has been raised by the group.


    Jonathan has been advising Soho Square (and its predecessor) for over 15 years, a leading provider of structured capital solutions.

  • Acted for Inspired Education Group in relation to equity fund raisings

    Having previously advised Inspired Education Group on its minority investments from TA Associates, Warburg Pincus and GIC, Jonathan more recently advised Inspired Education Group on Stonepeak's €1 billion minority investment in the company.

    Inspired Education Group is an international operator of K12 schools and offers academic excellence to over 95,000 students in 121 schools across 28 countries.

    Jonathan previously advised Inspired Education Group from its establishment.

  • Acted for STAR Capital in relation to various investments

    Jonathan has advised STAR Capital in relation to several of its investments and divestments including, for example, its investment of €50 million in TASC Infrastructure Property Company, an acquirer, owner and manager of rental income streams for digital infrastructure assets.

    Jonathan has been advising STAR Capital over the last five years.
